Terms of Service

1. Acceptance of Terms

By accessing and using sageresearch.ai and AlphaVision (the “Service”), you agree to be bound by these Terms of Service. If you do not agree to any part of these terms, you may not use the Service.

Sage Research.AI LLC (“we,” “us,” “our,” or “Company”) reserves the right to modify these Terms at any time. Continued use of the Service after modifications constitutes acceptance of the updated Terms.

2. Description of Service

AlphaVision is a vision transformer AI-powered trading signal and alert service that provides BUY/SELL signals with confidence scores across multiple markets, including stocks, ETFs, cryptocurrencies, and the VIX (volatility index).

3. Subscription and Billing

AlphaVision is offered as a monthly subscription service. Stripe handles your order — your order details are encrypted and never seen by Sage Research during checkout.

You are responsible for providing accurate and up-to-date payment information, keeping your payment method current, and notifying us of any unauthorized charges.

Your subscription automatically renews each billing cycle unless cancelled. Charges appear as “SAGERESEARCH.AI” on your statement. You are responsible for any applicable taxes.

We may change subscription pricing with at least 30 days’ notice. Price changes apply to renewals, not to your current billing period.

4. Cancellation and Refunds

You can cancel your subscription at any time by clicking the cancellation link at the bottom of any AlphaVision alert email, or by emailing support [at] sageresearch [dot] ai. Cancellation takes effect at the end of your current billing period. Cancellations do NOT result in a refund or credit for the current billing period.

5. Account Creation and Responsibilities

You must create an account to access the Service. You agree to provide accurate, complete, and current information; choose a strong, unique password; keep your login credentials confidential; and immediately notify us of any unauthorized access.

You are solely responsible for the confidentiality of your password and account. You are liable for all activity under your account, whether or not authorized by you. We may terminate or suspend your account if you violate these Terms, engage in fraud or illegal activity, misuse the Service, or fail to pay subscription fees.

6. Intellectual Property

AlphaVision, including all trading signals, AI models, algorithms, data, software, and content, is the exclusive property of Sage Research.AI LLC and is protected by copyright, patent, trade secret, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your personal trading decisions.

You may not reproduce, distribute, or sell the Service or signals; reverse engineer, decompile, or disassemble the software; create derivative works; use signals for commercial purposes; or redistribute trading signals to third parties in any form.

7. Software Disclaimer and Limitation of Liability

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied. We disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, and timeliness.

AlphaVision is complex software that may contain bugs, errors, vulnerabilities, logic failures, and unexpected behavior. Trading signals may be delayed, inaccurate, duplicated, missing, or contradictory.

We are NOT liable for any losses, damages, or missed trading opportunities resulting from software bugs, incorrect signals, system outages, network failures, data corruption, or any other technical issue.

Our total liability is limited to the amount you paid for the Service in the last 3 months. In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages.

8. Not Financial Advice

AlphaVision provides trading signals for informational purposes only. The Service is not financial advice, investment advice, a recommendation to buy or sell any security, or legal advice.

You are solely responsible for evaluating trading signals, conducting your own due diligence, making your own trading decisions, and consulting with licensed financial advisors if appropriate. We are not a registered investment advisor, broker-dealer, or financial institution.

9. Trading Risks

Trading securities, commodities, and cryptocurrencies involves substantial risk of loss. You may lose your entire investment. Past performance does not guarantee future results. Markets are unpredictable, and black swan events can cause extreme losses with no warning.

If you trade on margin or with leverage, losses can exceed your initial investment. Cryptocurrency markets are particularly volatile and may experience extreme price swings, regulatory changes, exchange shutdowns, and total loss of value.

10. User Conduct and Restrictions

You agree not to:

• Redistribute signals to third parties or sell signal access
• Reverse engineer, decompile, or attempt to discover source code or algorithms
• Probe for vulnerabilities or conduct unauthorized security testing
• Use the Service for illegal purposes
• Interfere with the Service’s operation or infrastructure
• Scrape, bot, or automate access without permission
• Attempt to gain unauthorized access to restricted areas

11. Indemnification

You agree to indemnify, defend, and hold harmless Sage Research.AI LLC, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including attorney’s fees) arising from your use of the Service, your violation of these Terms, your violation of any law or third-party right, your trading decisions or results, or any content you upload or transmit through the Service.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.

Any dispute arising from these Terms shall be resolved by binding arbitration in accordance with the American Arbitration Association (AAA) Rules, conducted in Palm Beach County, Florida.

Exceptions: claims for injunctive relief to prevent IP infringement, claims from non-payment, and small claims under $8,000.

You agree that any proceeding shall be conducted on an individual basis, not as a class action, collective action, or representative action. Before initiating arbitration, you must provide written notice and allow 30 days for resolution.

13. Modifications, Severability, and Entire Agreement

We may modify, suspend, or discontinue the Service at any time. If we discontinue the Service, we will make reasonable efforts to provide notice.

If any provision of these Terms is held invalid or unenforceable, it will be modified or severed, and the remaining provisions remain in full force.

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Sage Research.AI LLC regarding the Service.

14. Developer API and AI Agent Access

The AlphaVision Developer API at api.alphavision.market provides a structured, read-only surface for programmatic access to signal data. The following terms apply to all API usage and are in addition to the restrictions elsewhere in these Terms.

API Keys. Each subscriber may hold one active API key at a time, issued from the account dashboard. Keys are personal credentials and may not be transferred, shared, or used by parties outside the subscribing account. You are responsible for protecting your key; lost or compromised keys must be rotated immediately. We may revoke a key for cause — including security incidents, payment failure, or violation of these Terms — and will provide notice when reasonably possible.

Scope of access. API keys grant only the read-only signal data included in the subscriber’s active subscription tier. Keys do not authorize trade execution, account modification, or any administrative action. The free SPY surface is accessible without a key, subject to lower request limits.

Permitted automation. Automated access — including from scripts, notebooks, scheduled jobs, and AI agents — is permitted only through the official API documented at /developers. Section 10’s prohibition on scraping, bots, and unauthorized automation remains in full force for all other access paths. Agents acting on behalf of the subscribing account may consume API responses for analysis, summarization, monitoring, and explanation. Agents may not execute trades on those signals without explicit human confirmation, and may not surface paid signal data to non-subscribers.

Rate limits and fair use. We may enforce request limits, cooldowns, and concurrency caps. Current limits are published at /developers and may change with reasonable notice. Repeated abuse, attempts to evade limits through multiple keys or accounts, or aggregate traffic patterns that substantially burden the service will result in key revocation.

Service evolution. The Developer API is versioned. Within a published major version (currently v1) we may add fields and endpoints without notice. Breaking changes will be announced at least 30 days before the previous version is removed.
